Club Bylaws

My fellow Metro PCA Members,

After more than eight months of hard work, we are pleased to announce that Metro's new Bylaws were adopted at our August 11, 2009 Board meeting. The new Bylaws maintain the intent, direction, and framework of our founding Bylaws, which date back more than fifty years, while bringing current their spirit and present direction of our great club. In accordance with the requirements of our new Bylaws, notification of the adoption will be issued to the membership via email and will be published within our website.

The following is a summary of the significant improvements in our new Bylaws:
  • Resolved and removed discrepancies between the Metro Bylaws and the current versions of the PCA National Bylaws, National Code of Ethics and Regional Procedures Manual.
  • Resolved existing internally conflicting and inconsistent provisions within our old Bylaws.
  • Eliminated inappropriate and potentially litigious language, specifically with regard to the potential for the discrimination of prospective and current members.
  • Replaced out-dated processes, procedures, and text with modern processes, current procedures, and appropriate language
  • Implemented time and cost saving methods for distribution to and communication with the Club membership.
  • Clarified the roles and responsibilities of the Board members
  • Expanded the existing nine Standing Committees to thirteen by bifurcating Advertising and Publicity, forming a new Electronic Publication Committee, and converting the Technical and Safety Advisory Boards into separate permanent Standing Committees.
  • Re named our Track Committee as the Driver Education Committee; without altering its function or purpose.


As I am sure you can appreciate, these updates were the result of countless hours of hard work by the Executive Committee and our special five member non-standing Bylaw Committee, who's task it was to modernize and update our antiquated Metro Bylaws; this assignment is now complete. Thank you to Dorothy Buxbaum, Robert Cardinale, Mark Dresner and Mike Palumbo for their efforts in this most arduous task.

This Committee worked very closely with Metro member Lee David Auerbach, Esq. and David Novack, Esq., PCA National and General Counsel to insure that our new Bylaws were properly drafted in conformity with PCA National standards and enacted in accordance with our existing rules. Lee and David were incredibly generous with the time and guidance, which proved to be invaluable throughout this lengthy and complicated process. We cannot thank either of you enough for your efforts and sound advice.

Like your beloved Porsche, Metro's Bylaws require regular and ongoing maintenance. In the case of our Bylaws, this deferred maintenance was long overdue. An organization's bylaws are a guideline, a roadmap to follow; they must reflect how to operate, how to govern and most importantly, how to conduct official business now and into the future. The Board and the Committee believe that this goal has been accomplished.
